The health of your company begins with the new Companies Act No. 71 of 2008 (“the Act”), and its dynamic application in the King Reports and Code.
As governance consultants we offer advice on all aspects of the Act as well as evaluation, feedback and recommendations to align your company and practices with the Act.
And at the very heart of this service is the company’s MOI. The MOI is “the document, as amended from time to time, that sets out rights, duties and responsibilities of shareholders, directors and others within and in relation to a company” (Companies Act).
Because of this document’s importance, we offer to evaluate your MOI, or to provide you with a new MOI that soundly aligns your business with the Act and your Shareholders’ Agreement. For that reason we are also equipped to draw up Shareholders’ Agreements.
